Welcome, and thank you for your interest in SprintReview, Inc. DBA Actual AI ("Actual AI," "we," "our," or "us"). These terms of service ("Terms") establish the terms and conditions that apply to you when you use the Service (as defined below).

These terms of service apply to all Actual AI software and services and any Actual AI services or software updates (except to the extent such services or updates are accompanied by new or additional terms, in which case those different terms apply prospectively and do not alter your or Actual AI's rights relating to pre-updated software or services).

BY USING THE SERVICE OR BY CLICKING "I AGREE" YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS AND YOUR AGREEMENT TO BE BOUND BY THESE TERMS, AS WELL AS ALL APPLICABLE LAWS AND REGULATIONS. YOU ARE NOT PERMITTED TO USE THE SERVICE IF YOU DO NOT AGREE TO THESE TERMS. THESE TERMS CAN BE CHANGED, MODIFIED, SUPPLEMENTED, AND/OR UPDATED BY Actual AI AT ANY TIME. WE WILL TAKE REASONABLE EFFORTS TO PROVIDE YOU WITH PRIOR NOTICE OF ANY MATERIAL CHANGES TO THESE TERMS. YOUR CONTINUED USE OF THE SERVICE AFTER THE MODIFICATION OF THESE TERMS MEANS THAT YOU ACCEPT ALL SUCH CHANGES. YOU SHOULD CONSULT THESE TERMS EACH TIME YOU ACCESS THE SERVICE TO VIEW ANY CHANGES. THESE TERMS WERE LAST MODIFIED AS OF THE DATE INDICATED ABOVE.

AS DESCRIBED BELOW, THESE TERMS PROVIDE FOR THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND LIMIT THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE. YOU CAN OPT-OUT OF THIS AGREEMENT TO ARBITRATE BY CONTACTING legal@actual.ai WITHIN 30 DAYS AFTER FIRST ACCEPTING THESE TERMS AND STATING YOUR FIRST AND LAST NAME AND THAT YOU DECLINE THIS AGREEMENT TO ARBITRATE.

1. Acceptance of Terms

A. Service

The "Service" includes Actual AI's website located at https://actual.ai ("Site"), Actual AI's desktop application, and Actual AI's web application and extensions as each may be updated, relocated, or otherwise modified from time to time, all content and services Actual AI makes available through the Site or Apps, and all intellectual property contained therein. The service is an automation tool that drafts commit messages, pull request summaries, and release notes ("reports") by analyzing and summarizing software development code and content hosted on third-parties you select, including but not limited to Jira and Github. The service also posts reports on some or all of those third-parties where code or content is stored, including but not limited to Github and Jira as well as Actual AI dashboard. Other users who use Actual AI will be able to view your development activity that Actual AI has posted and summarized if they share a company email or have view access accounts at or content stored by the third parties you select. Any person who accesses and/or uses the Service, whether on his or her own behalf or on behalf of any third party, will be referred to herein as a "Actual AI User."

B. INSTALLATION AND USE RIGHTS

a) General. You may install and use any number of copies of the software.

b) Third Party Components. The software may include third party components with separate legal notices or governed by other agreements, as may be described in the ThirdPartyNotices file(s) accompanying the software.

C. Service Restrictions

To use the Service, you must have access to the Internet.

D. License

Subject to your compliance with these Terms, Actual AI hereby grants you a limited, revocable, non-exclusive, non-transferable license to download the Apps and access and use the Service.

E. SCOPE OF USE

This agreement only gives you some rights to use the software. Actual AI reserves all other rights. For clarification Actual AI, or its licensors, retains ownership of all aspects of the software. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways. For example, if Actual AI technically limits or disables extensibility for the software, you may not extend the software by, among other things, loading or injecting into the software any non-Actual AI add-ins, macros, or packages; modifying the software registry settings; or adding features or functionality equivalent to that found in Actual AI products and services.

You may not:

Work around any technical limitations in the software that only allow you to use it in certain ways
Reverse engineer, decompile or disassemble the software, or otherwise attempt to derive the source code for the software
Remove, minimize, block, or modify any notices of Actual AI or its suppliers in the software
Use the software in any way that is against the law or to create or propagate malware
Share, publish, distribute, or lease the software (except for any distributable code, subject to the terms above), provide the software as a stand-alone offering for others to use, or transfer the software or this agreement to any third party

F. Authorization

By accessing and using the Service, you authorize and direct Actual AI, as your agent and on your behalf, to electronically retrieve your Account Data from Third-Party Data Sources. Subject to our Privacy Policy, Actual AI may work with one or more third-party vendors including but not limited to Jira and Github to access and retrieve your relevant Account Data. You understand that the Service is not endorsed or sponsored by any Third-Party Data Sources accessible through the Service.

G. Data Collection

The software may collect information about you and your use of the software, and send that to Actual AI. Actual AI may use this information to provide services and improve our products and services. You may opt-out of many of these scenarios, but not all, as described in the product documentation. There are also some features in the software that may enable you to collect data from users of your applications. If you use these features to enable data collection in your applications, you must comply with applicable law, including providing appropriate notices to users of your applications. You can learn more about data collection and use in the help documentation and the privacy statement at https://privacy.actual.ai/. Your use of the software operates as your consent to these practices.

H. SUPPORT SERVICES

Actual AI is not obligated under this agreement to provide any support services for the software. Any support provided is "as is", "with all faults", and without warranty of any kind.

I. Deactivation

Actual AI may, at any time and without notice to you: (1) restrict, deactivate, and/or terminate your access to the Service (or any portion thereof); or (2) terminate or modify the Service (or any portion thereof). Actual AI will not be liable to you or any third party for any termination of or modification to the Service regardless of the reason for such termination or modification. If you are dissatisfied with any termination or modification of the Service, your only right is to terminate your use of the Service.

J. Privacy Policy

Actual AI's policy with respect to the collection and use of your personally identifiable information is described in our Privacy Policy. By accepting these Terms, you acknowledge your agreement with Actual AI's Privacy Policy.

2. Description of Service

To become an Actual AI User, you must complete the registration process by providing us with current, complete, and accurate information, as prompted by the applicable registration form.

B. Accuracy of Information

You acknowledge that if you provide any information to us that is untrue, inaccurate, not current, or incomplete, Actual AI may terminate these Terms and your continued access and use of the Service.

C. Eligibility

You represent and warrant that you are at least 18 years of age and that you have not been previously suspended or removed from the Service.

THE SERVICE IS NOT FOR PERSONS UNDER THE AGE OF 18 OR ANY USERS PREVIOUSLY SUSPENDED OR REMOVED FROM THE SERVICE BY Actual AI. IF YOU ARE UNDER 18 YEARS OF AGE, PLEASE DO NOT USE OR ACCESS THE SERVICE AT ANY TIME OR IN ANY MANNER.

D. Credentials

As part of the registration process, you may be asked to select a username and/or password or other login credentials. You are entirely responsible for maintaining the security and confidentiality of your login credentials. You agree to notify Actual AI immediately of any unauthorized use of your account or any other breach of security. To notify us, contact us at legal@actual.ai. You are responsible for all use of the Service occurring under your account and all content posted with your account on the Service. You are responsible for keeping your login credentials confidential and for notifying us if your login credentials have been hacked or stolen. Actual AI will not be liable for any loss that you may incur as a result of someone else using your login credentials or account, either with or without your knowledge. You may be held liable for any losses incurred by Actual AI or another party due to someone else using your account or login credentials.

E. Your account, subscriptions, and memberships cannot be transferred or assigned

We reserve the right to accept, refuse, or cancel your account, subscription, or membership at our sole discretion.

3. Your Registration Obligations

To become an Actual AI User, you must complete the registration process by providing us with current, complete, and accurate information, as prompted by the applicable registration form.

B. Accuracy of Information

You acknowledge that if you provide any information to us that is untrue, inaccurate, not current, or incomplete, Actual AI may terminate these Terms and your continued access and use of the Service.

You represent and warrant that you are at least 18 years of age and that you have not been previously suspended or removed from the Service.
